1. Use of FreshLIMS

By creating an account, starting a trial, or otherwise using FreshLIMS, you agree to these terms. FreshLIMS is provided as a software-as-a-service platform for laboratories and clinics. We may suspend access where we have reasonable grounds to believe these terms have been breached.

2. Free first-month trial

New labs and clinics are offered a one-month free trial when first signing up. The trial begins on the date your account is provisioned and ends one calendar month later. No payment details are required to start a trial. At the end of the trial, continued use of FreshLIMS requires a paid subscription on one of our published tiers.

3. Pricing and changes to pricing

Subscription pricing is published on our pricing page in pounds sterling (GBP). We may change pricing at any time, including for existing customers. Where pricing changes, we will give reasonable notice in advance of your next renewal. Continued use of the service after a pricing change takes effect constitutes acceptance of the new pricing.

Per-clinician (clinic) pricing is calculated on the number of active clinician seats in your account at the start of each billing period. Adding a seat mid-period is pro-rated; removing a seat takes effect at the end of the period.

4. Subscription, billing, and renewal

Paid subscriptions renew on a monthly basis unless cancelled. The Founding Lab tier is offered on a 24-month commitment in exchange for the locked introductory rate. You may cancel a non-committed subscription at any time; cancellation takes effect at the end of the then-current billing period. We do not refund partial months.

5. Customer data & portability

You retain ownership of all data your organisation enters into FreshLIMS. We process that data on your behalf solely to provide the service. You are responsible for ensuring that your use of FreshLIMS, including any data you upload, complies with applicable data-protection law and any duties you owe to patients, clinicians, or third parties.

You may request a full export of your organisation's data at any time, including on cessation of your subscription. We will provide it in a structured, commonly-used format within a reasonable period.

6. Validation pack

Where you receive a validation pack from us — whether at sign-up or on request — it is provided for use in your own quality system and accreditation activities. The pack is licensed to your organisation for that purpose; you may not redistribute it externally.

7. No liability

FreshLIMS is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, FreshLIMS, its operators, employees, and affiliates accept no liability for any direct, indirect, incidental, consequential, special, or punitive loss or damage of any kind arising from your use of, or inability to use, the service. This includes (without limitation) loss of data, loss of profit, loss of business, clinical decisions made on the basis of information processed through the platform, and any harm caused to patients, staff, or third parties. You use the service at your own risk and remain solely responsible for any clinical, regulatory, and operational decisions made by your organisation.

8. Acceptable use

You agree not to use FreshLIMS to violate any law, infringe the rights of others, transmit malicious software, or attempt to interfere with the integrity, security, or availability of the platform.

9. Termination

You may close your account at any time. We may suspend or terminate your account where we believe these terms have been breached, where required by law, or where it is necessary to protect the integrity of the service. On termination, your access to the platform ends; data retention and export are handled in line with the agreement in force at the time of termination.

10. Governing law

These terms are governed by the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to these terms

We may update these terms from time to time. The "last updated" date at the top of this page reflects the most recent revision. Continued use of the service after a change takes effect constitutes acceptance of the revised terms.
